1. Agreement to Terms

Welcome to Yampli! These Terms of Service ("Terms") govern your access to and use of the Yampli mobile application, website, and related services (collectively, the "Service"). By creating an account or using our Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Yampli ("we," "us," or "our").

2. Eligibility

To use Yampli, you must:

• Be at least 13 years old (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information

Users between 13 and 18 years old (or the age of majority) must have permission from a parent or legal guardian to use the Service.

3. Account Registration and Security

3.1 Account Creation

You may create an account using Google or Apple Sign-In. By creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access

3.2 Account Responsibility

You are responsible for all activity that occurs under your account. You agree not to:

• Share your account with others
• Create multiple accounts for yourself
• Use another person's account without permission
• Create accounts using automated means or false information

4. Yampli Coins and Digital Currency

4.1 Nature of Yampli Coins

Yampli Coins are a virtual currency used within the Yampli platform. Important points:

• Yampli Coins have no real-world monetary value
• Coins cannot be exchanged for cash or legal tender
• Coins are not your property; they are a license to access rewards
• Coins cannot be transferred between users
• We reserve the right to modify coin values, earning rates, or redemption options

4.2 Earning Coins

You can earn Yampli Coins by:

• Visiting participating restaurants and scanning QR codes
• Completing challenges and achievements
• Participating in promotional events
• Receiving welcome bonuses

4.3 Redeeming Coins

Yampli Coins can be redeemed for rewards at participating restaurants. Rewards are subject to:

• Availability and restaurant participation
• Specific terms and conditions set by each restaurant
• Expiration dates and blackout periods
• Verification and validation by restaurant staff

4.4 Coin Forfeiture

You may lose your Yampli Coins if:

• Your account is terminated for violating these Terms
• Your account is inactive for more than 12 months
• You delete your account
• We discontinue the Service (with reasonable notice)

5. User Conduct

When using Yampli, you agree NOT to:

• Cheat or Fraud: Manipulate location data, create fake check-ins, or exploit the system to earn coins unfairly
• Abuse: Harass, threaten, or harm other users or restaurant partners
• Spam: Send unsolicited communications or promotional content
• Violate Laws: Use the Service for any illegal purpose
• Impersonate: Pretend to be another person or entity
• Hack: Attempt to gain unauthorized access to any part of the Service
• Reverse Engineer: Decompile, disassemble, or reverse engineer the app
• Scrape: Use automated tools to collect data from the Service
• Interfere: Disrupt or interfere with the Service's operation

6. Restaurant Partnerships

6.1 Partner Relationships

Yampli partners with restaurants to offer the Service. You acknowledge that:

• We do not operate, own, or control partner restaurants
• Restaurant participation may change without notice
• Restaurants set their own reward offerings and terms
• We are not responsible for restaurant service quality or operations

6.2 Reward Redemption

When redeeming rewards:

• Restaurant staff has final authority to validate and accept rewards
• Rewards cannot be combined with other offers unless specified
• Rewards are subject to restaurant policies and availability
• Disputes should be resolved directly with the restaurant

7. Location Services

Yampli requires access to your device location to function properly. By using the Service, you consent to:

• Collection of your location data when using the app
• Use of location data to verify check-ins and award coins
• Display of your approximate location to enable gameplay features

You can disable location services, but this will prevent core functionality from working. We do not sell or share your precise location data with third parties except as described in our Privacy Policy.

8. Intellectual Property

8.1 Our Rights

All content, features, and functionality of the Service, including but not limited to:

• Text, graphics, logos, images, and software
• The Yampli name, logo, and branding
• The app design, user interface, and user experience
• All proprietary algorithms and processes

...are owned by Yampli or our licensors and are protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use in accordance with these Terms.

8.3 Restrictions

You may not:

• Copy, modify, or create derivative works of the Service
• Use our trademarks or branding without written permission
• Remove or alter any copyright or proprietary notices

9. Third-Party Services

The Service may integrate with or contain links to third-party services, including:

• Google Sign-In and Apple Sign-In
• Payment processors
• Restaurant websites
• Social media platforms

We are not responsible for third-party services or content. Your use of third-party services is subject to their respective terms and privacy policies.

10. Disclaimers and Limitations of Liability

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability or fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or availability of the Service
• Uninterrupted or error-free operation

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YAMPLI SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use the Service
• Restaurant actions or failures to honor rewards
• Loss or theft of Yampli Coins

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED $100 USD OR THE AMOUNT YOU PAID TO US IN THE PAST 12 MONTHS, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Yampli and our officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of applicable laws or regulations

12. Termination

12.1 By You

You may terminate your account at any time by:

• Deleting your account through the app settings
• Contacting our support team

Upon termination, you will lose all Yampli Coins and cannot recover them.

12.2 By Us

We may suspend or terminate your account immediately, without notice, if:

• You violate these Terms
• We suspect fraudulent or illegal activity
• Your account has been inactive for an extended period
• We discontinue the Service (with reasonable notice)
• Required by law or court order

12.3 Effect of Termination

Upon termination:

• Your license to use the Service ends immediately
• All Yampli Coins are forfeited
• We may delete your account data (subject to legal requirements)
• Sections of these Terms that should survive termination will remain in effect

13. Modifications to the Service and Terms

13.1 Service Changes

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modifications, suspensions, or discontinuations.

13.2 Terms Changes

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms in the app
• Sending you an email notification
• Displaying a notice when you log in

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and delete your account.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@yampli.com to attempt to resolve the dispute informally. We will try to resolve disputes in good faith.

14.2 Binding Arbitration

If we cannot resolve a dispute informally, you agree that any dispute will be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if they qualify.

14.3 Class Action Waiver

YOU AND YAMPLI AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14.4 Exceptions

This arbitration clause does not apply to disputes that cannot be arbitrated under applicable law.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved in the courts located in [Your Jurisdiction].

16. General Provisions

16.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Yampli regarding the Service.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

16.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

16.4 Assignment

You may not assign or transfer these Terms or your account. We may assign these Terms to any affiliate or successor without your consent.

16.5 Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, or technical failures.

18. App Store Terms

18.1 Apple App Store

If you download the app from the Apple App Store, you acknowledge that:

• These Terms are between you and Yampli, not Apple
• Apple has no obligation to provide support for the app
• Apple is not responsible for addressing any claims relating to the app
• Apple is a third-party beneficiary of these Terms and may enforce them

18.2 Google Play Store

If you download the app from Google Play, you agree to comply with the Google Play Terms of Service in addition to these Terms.
